About these Terms
These Terms of Service ("Terms") govern the subscription design service provided by SIA Direkt Design ("Direkt Design", "we", "us") tobusiness customers ("Client", "you").
Our service is offered to businesses only. By subscribing you confirm that you are acting in the course of a trade, business or profession, and not as a consumer.
By subscribing, you agree to these Terms.
The service
Direkt Design provides graphic design services on a monthly subscription basis. A single monthly payment gives you access to ourdesign services for that month.
What is included:
• Unlimited design requests over the course of your subscription
• One active request worked on at a time, processed in the order received
• Standard turnaround of two (2) business days for a first draft of a single deliverable (for example a banner, poster, social mediagraphic or similar)
• Two (2) rounds of revisions included per request
Larger projects. Work that cannot reasonably be delivered as a single deliverable — for example a website, a full brand identity or amulti-item campaign — is split into agreed phases before work begins. A website, for instance, is typically delivered one page per phase. Each phase is treated as its own request with its own turnaround. The scope of each phase is agreed in writing before work on it starts.
Revisions. Each request includes two rounds of revisions. Further changes beyond that are welcome and are handled as a new requestin the queue.
What is not included: copywriting, photography, video production, printing, media buying, paid stock licences, and development orcoding of any kind, unless separately agreed in writing.
Turnaround times
Turnaround times are estimates measured in business days (Monday to Friday, excluding Latvian public holidays) and begin when wehave received everything needed to start: a clear brief, all required assets, and any brand guidelines.
Where a brief is incomplete or assets are missing, the turnaround clock starts when the missing items are received.
Turnaround times refer to the delivery of a first draft, not to final approved work.
Your responsibilities
To keep the service working, you agree to:
• Provide clear briefs, along with any logos, fonts, images, brand guidelines or other assets needed
• Respond to questions and drafts within a reasonable time
• Confirm that you own, or are licensed to use, all materials you supply to us, and that our use of them will not infringe anyone'srights
• Not submit requests that are unlawful, defamatory, discriminatory, or that infringe third-party rights
Prolonged inactivity on your side does not pause or extend your subscription. If you need a break, use the pause option described inSection 6.
Fees and payment
The subscription fee is EUR 999,00 per month, unless a different rate has been agreed with you in writing.
• Payment is taken in advance for each monthly period.
• Subscriptions renew automatically each month until cancelled.
• Payments are processed by Stripe. We do not store your card details.
• All prices are exclusive of VAT. VAT is applied where required by law. For business customers in other EU member states holding avalid VAT number, the reverse charge mechanism applies.
• If a payment fails, we may suspend work on active and queued requests until payment is resolved.
Pausing your subscription
You may pause your subscription instead of cancelling it. Your slot is held for you while paused.
• Minimum pause: one (1) month
• Maximum: two (2) months in any rolling twelve (12) month period
• Notice: at least seven (7) days before your next renewal date
• No fees are charged during a pause, and no work is carried out during a pause
• Any unused days remaining in your current paid period are preserved and resume when you unpause
To pause, email hello@direkt.design.
Cancellation
You may cancel at any time. Cancellation takes effect at the end of your current paid period — you keep full access until then, and youwill not be charged again.
Refunds are not provided for partial months or for unused time within a paid period.
This applies whether you cancel, stopsubmitting requests, or become unresponsive.
Work in progress at the end of your final period is delivered in whatever state it has reached, unless you have already paid for asubsequent period.
We may cancel or decline to renew a subscription at our discretion, for example where a request falls outside the scope of the service orwhere the working relationship has broken down. In that case we will refund the unused portion of the current period on a pro-ratabasis.
Intellectual property
Ownership of the final approved deliverables transfers to you once payment for the period in which they were produced has beenreceived in full.
Until payment is received, all rights remain with Direkt Design.
What does not transfer: working files, source files, unused concepts and preliminary drafts remain our property unless separatelyagreed in writing. Third-party assets (fonts, stock images, icons) remain subject to their own licences, which you are responsible forholding where required.
Portfolio rights. We retain the right to display work produced for you in our portfolio, on our website, and in marketing materials, including on social media. If you need an exception — for example because of an NDA or an unreleased product — tell us in writing andwe will exclude that work. We are happy to agree a delay before publishing where a launch date is involved.
Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in the course of the engagement, and to use itonly for the purpose of delivering or receiving the service. This obligation continues after the subscription ends. It does not apply toinformation that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
Availability and delays
Direkt Design is operated by a single designer. We plan capacity accordingly and limit the number of active subscriptions so thatturnaround commitments can be met.
If we are unable to work due to illness, technical failure, or other circumstances beyond our reasonable control, we will notify you withintwenty-four (24) hours and turnaround times are extended by the length of the interruption. Where an interruption exceeds seven (7)consecutive days, you may request a pro-rata credit against your next invoice, or cancel with a pro-rata refund of the affected period.
Planned absences are announced at least fourteen (14) days in advance where possible.
Data protection
Each party will comply with applicable data protection law, including the GDPR.
Where you supply us with personal data belonging to your own customers, employees or contacts — for example a mailing list for anemail design — you act as controller and we act as processor on your instructions. In that case we will: process such data only asinstructed by you; keep it confidential; apply appropriate security measures; not engage sub-processors other than those listed in ourPrivacy Policy without informing you; and delete or return it on request.
Our own handling of your data is described in our Privacy Policy.
Limitation of liability
To the fullest extent permitted by law:
• Our total liability arising out of or in connection with the service is limited to the total fees paid by you in the three (3) monthspreceding the event giving rise to the claim.
• We are not liable for indirect or consequential loss, including loss of profit, revenue, business, goodwill or anticipated savings.
• We are not liable for losses arising from printing, publication or production of approved deliverables. You are responsible for finalproofing and approval before any material goes to print or publication.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannotlawfully be limited.
Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email at least thirty (30) days before they take effect.Continuing your subscription after that date means you accept the updated Terms. If you do not accept them, you may cancel underSection 7.
Governing law and disputes
These Terms are governed by the laws of the Republic of Latvia. The parties will attempt to resolve any dispute in good faith. Failingthat, disputes are subject to the exclusive jurisdiction of the courts of the Republic of Latvia.
